1. Agreement
These Terms are a contract between SndBlstr LLC (“SndBlstr,” “we,” “us”) and the business or individual that uses SndBlstr (“Customer,” “you”). You accept them by paying your first SndBlstr invoice, by signing an order form that references them, or by using the service. If you accept on behalf of a company, band, or other organization, you confirm you are authorized to bind it.
Your plan, term, included services, and price are set out in your first invoice or order form (the “Order”). If an Order conflicts with these Terms, the Order controls for that item.
2. Accounts and security
- You are responsible for everyone you invite to your account and for everything done under it.
- Each team member signs in with their own login. Sign-ins are protected by a code texted to the team member's mobile number; keep phones and passwords secure and tell us promptly at support@sndblstr.com if you suspect unauthorized access.
- You must give us accurate business information, including the details we use to register your messaging with carriers, and keep it current.
3. Term and renewal
- Initial term. Each subscription has an initial term of 12 months starting on the date your first invoice is paid, billed either monthly or annually in advance as stated in your Order.
- Renewal. After the initial term, the subscription renews automatically for successive 12-month terms on the same billing schedule unless either party gives written notice of non-renewal at least 30 days before the end of the current term.
- Commitment. The term is a commitment. If you end the subscription early for any reason other than our uncured material breach, the fees for the remainder of the current term become due. Fees already paid are non-refundable except where the law requires otherwise.
4. Fees and billing
- Plans follow your list. Plans are priced by the number of contacts in your account, measured shortly before each renewal. If your list has grown past your plan by then, you renew on the plan that fits it. Growth during a billing period never changes the price of that period. Moving to a smaller plan happens only when you ask for it, and takes effect at your next renewal if your list still fits that plan on that date.
- Usage beyond your plan. Text messages, multimedia messages, emails, and video storage and viewing beyond your plan's allowances are billed at the overage rates in effect, on the following invoice.
- SMS fees. Accounts with text messaging pay the one-time setup fee and the monthly phone number and carrier registration fees shown in the Order. Carrier pass-through fees may change when carriers change them.
- Add-ons. Optional services such as Advertising and Video & Live are billed as stated in the Order or when added. Ad spend paid to Meta or other platforms is separate and is your responsibility.
- Payment. Invoices are payable by card through Stripe by the due date. After your first invoice is paid, renewals are charged to the card on file. You authorize these charges.
- Taxes. Fees exclude taxes. You pay applicable sales, use, and similar taxes, which appear on your invoice.
- Price changes. We may change prices with at least 30 days' notice. Changes take effect at your next renewal, not during your current term, unless you change your plan or services.
- Late payment. If an invoice is unpaid 14 days after its due date, we may suspend the service until it is paid. Suspension does not pause your term or your fees.
5. Messaging compliance
You are the sender of every text and email sent from your account, and you are solely responsible for complying with the laws and rules that apply to them, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state telemarketing and texting laws, the CTIA Messaging Principles and Best Practices, and carrier and 10DLC requirements. In particular, you agree to:
- Send marketing texts only to people who gave you prior express written consent, and keep that consent current; SndBlstr's signup tools record consent, but you must not import or text numbers without valid consent.
- Honor opt-outs. SndBlstr processes STOP replies and unsubscribes automatically; do not re-add or message people who opted out.
- Identify yourself in your messages, respect quiet hours and frequency limits that apply to you, and send only content that matches your registered messaging use.
- Not send prohibited content, including content about cannabis, illegal drugs, firearms sales, gambling, sexual content, hate, or phishing, or any content carriers prohibit.
Carriers may filter or block messages, and registration approval is decided by carriers, not by us. We may pause sending from your account if a carrier, regulator, or complaint indicates a compliance problem.
6. Acceptable use
You will not, and will not let anyone else:
- use SndBlstr for unlawful, deceptive, harassing, or infringing purposes;
- upload or stream content you do not have the rights to, including music and video;
- attempt to access other customers' data, probe or disrupt the service, or get around its limits or security;
- resell the service or share an account with another business without our written permission;
- copy, reverse engineer, or build a competing product from the service.
7. Your data
- You own your data, including your contacts, fan data, content, and campaigns. You give us permission to host, process, and transmit it only to provide and support the service for you.
- We process personal data about your fans as your service provider and as described in our Privacy Policy. You are responsible for having a privacy policy for your fans and a lawful basis for the data you collect.
- You can export your contacts at any time while your account is active. After your account ends, we will delete or return your data within a reasonable period, except records we must keep by law or to prove consent and opt-outs.
- We may use aggregated, de-identified usage information to operate and improve the service.
8. Third-party services
SndBlstr works with services such as Twilio, Meta, Shopify, Stripe, Cloudflare, and email providers. Your use of a service you connect is also subject to that provider's terms. We are not responsible for third-party services, their availability, or changes they make, though we will work in good faith to keep integrations working.
9. Our service
SndBlstr, including its software, design, and documentation, belongs to SndBlstr LLC. We grant you a non-exclusive, non-transferable right to use it for your business during your term. Feedback you give us may be used without obligation to you.
10. Suspension and termination
- We may suspend all or part of the service immediately if your account poses a security, legal, or carrier-compliance risk, or for non-payment as described above. We will tell you why and restore service once the issue is resolved.
- Either party may terminate for a material breach that is not cured within 30 days after written notice.
- Sections that by their nature should survive termination (fees owed, your data, liability limits, indemnity, and general terms) survive.
11. Warranties, liability, and indemnity
We will provide the service with reasonable skill and care. Otherwise, the service is provided “as is.” We do not guarantee that it will be uninterrupted or error-free, that messages will be delivered by carriers, or any particular marketing result, and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent the law allows.
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue, and each party's total liability under these Terms is limited to the fees you paid SndBlstr in the 12 months before the claim. These limits do not apply to your payment obligations or to your indemnity below.
You will defend and indemnify SndBlstr LLC against claims, fines, and costs arising from the messages and content you send, the data you collect, or your breach of Sections 5 or 6, including claims under the TCPA or similar laws.
12. General
- Governing law. These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in Denver, Colorado, and both parties consent to that jurisdiction.
- Changes. We may update these Terms. We will give customers at least 30 days' notice of material changes by email; changes apply from your next renewal unless the law or a carrier requirement makes them effective sooner.
- Notices. We send notices to your account owner's or billing email. Send notices to us at support@sndblstr.com.
- Everything else. These Terms and your Order are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent, except to a successor of your business. Neither party is liable for delays caused by events beyond its reasonable control.
